If you are buying a business, you need to do your due diligence. It’s important to know as much about the business as you can before you make an offer on a business. Find out about the businesses existing contracts, licenses, agreements with employees, commercial leases, insurance policies and more.
You need to understand what you are buying. It’s OK to ask to see the businesses previous tax returns and financials. It’s important. You should always be on the lookout for any issues that might arise and bring legal troubles. Check to make sure the business is caught up on taxes, because you could be held responsible for delinquent sales tax.
You also need to ask what you are actually buying. Are you buying a building, the stock, all the assets or the entire business? Is the business name included in the sale? You will want to make sure that the licenses are transferrable (like a liquor license) or if they aren’t transferable, you’ll want to know how hard the license will be to obtain.
You’ll want to make sure that you work with a qualified business attorney and a qualified commercial real estate team whenever you buy a business because there are a lot of factors to consider.
